Terms of Service

1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Cycleone Limited ("Cycleone," "we," "us," or "our"), a company registered in England and Wales under company number 16873200, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. These Terms govern your access to and use of our websites, mobile applications, APIs, and any related services, including our non-custodial digital asset wallet (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies incorporated by reference. If you do not agree to these Terms, you must not use the Services.
2. Eligibility
To use the Services, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher; (b) have the legal capacity to enter into a binding contract; (c) not be a resident or national of a jurisdiction where the Services are prohibited or restricted by law or regulation; and (d) not be listed on any governmental list of prohibited or restricted parties. By using the Services, you represent and warrant that you meet all eligibility requirements.
3. Non-Custodial Wallet Services
Important: Cycleone provides non-custodial wallet technology. This means you alone control your private keys, seed phrases, and digital assets. We do not have access to, custody of, or control over your digital assets at any time. You are solely responsible for safeguarding your credentials and backing up your wallet.
3.1 Your Responsibilities. You acknowledge and agree that:
- You are solely responsible for the security of your private keys, seed phrases, passwords, and any other authentication credentials;
- Loss or compromise of your private keys or seed phrase may result in permanent loss of your digital assets, and Cycleone cannot recover them;
- You will maintain adequate backups of your wallet credentials in a secure offline location;
- All transactions initiated through the Services are irreversible once broadcast to the applicable blockchain network.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws and regulations. You shall not:
- a.Violate any applicable local, national, or international laws, regulations, or sanctions;
- b.Use the Services for money laundering, terrorist financing, fraud, or any other illegal financial activity;
- c.Transmit or store any content that is unlawful, harassing, defamatory, obscene, or infringes intellectual property rights;
- d.Attempt to gain unauthorized access to any systems, networks, or accounts;
- e.Introduce malicious software, viruses, or any code designed to disrupt or damage the Services;
- f.Use automated means (bots, scrapers, etc.) to access the Services without our express written consent;
- g.Circumvent or attempt to circumvent any security measures or access restrictions.
5. Account Security
If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach at security@cycleone.app. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
6. Intellectual Property
All content, features, and functionality of the Services—including but not limited to text, graphics, logos, icons, images, audio clips, software, and data compilations—are the exclusive property of Cycleone or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content without our prior written permission.
7. Third-Party Services and Content
The Services may integrate with or contain links to third-party websites, applications, and services, including blockchain networks, decentralized protocols, and data providers. We do not control and are not responsible for the availability, accuracy, content, privacy practices, or security of any third-party services. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties. Cycleone shall not be liable for any damage or loss arising from your use of or reliance on third-party services.
8. Disclaimers
8.1 No Investment Advice
The Services are provided for informational and technological purposes only. Nothing in the Services constitutes investment, financial, legal, tax, or other professional advice. You should consult qualified professionals before making any financial decisions. Past performance of digital assets is not indicative of future results.
8.2 As-Is Provision
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYCLEONE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
8.3 Blockchain Risks
You acknowledge the inherent risks of blockchain technology, including but not limited to: network congestion, transaction delays or failures, smart contract vulnerabilities, hard forks, regulatory changes, and extreme price volatility. Cycleone is not responsible for any losses arising from such risks or from errors in blockchain networks or protocols.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYCLEONE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED POUNDS STERLING (GBP 100).
10. Indemnification
You agree to indemnify, defend, and hold harmless Cycleone and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms or any applicable laws; (c) your violation of any third-party rights; or (d) any content or data you submit through the Services.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. For significant changes, we may also provide notice via email or through the Services. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.
12. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your use of the Services at any time by discontinuing use and, if applicable, deleting your account. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer residing in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law. You may also be entitled to bring proceedings in the courts of the member state in which you are domiciled.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cycleone regarding the Services.
- Severability: If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
